Welcome to Mornex AI. By accessing or using our services, you agree to the following Terms & Conditions. Please read them carefully.

1. Acceptance of Terms

By using the services provided by Mornex AI, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions, as well as our Privacy Policy.

If you do not agree, you must stop using our services.

2. Services Provided

Mornex AI offers digital and automation solutions, including but not limited to:

  • AI voice agents

  • AI chat assistants

  • Appointment-booking automations

  • Lead reactivation systems

  • Google Calendar integrations

  • CRM and workflow automations

  • Custom AI tools and API integrations

All services are subject to change or improvement at any time.

3. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information required for setup.

  • Maintain access to necessary platforms (Google Calendar, CRM, website, etc.).

  • Ensure they have the legal right to share data used in automations.

  • Use the services in compliance with all applicable laws and regulations.

4. Pricing & Payments

  • All prices are provided via custom quotation unless otherwise stated.

  • Payment must be made according to the agreed schedule (monthly, yearly, or project-based).

  • Failure to pay may result in suspension or termination of services.

  • Fees are non-refundable unless otherwise agreed in writing.

5. No Guarantee of Results

While Mornex AI aims to improve efficiency, communication, and workflow automation, we do not guarantee specific results, such as a certain number of booked appointments, revenue increases, or response times.

Performance depends on factors outside our control (staff response, CRM quality, website behavior, server uptime, etc.).

6. Data Privacy & Security

  • Mornex AI processes data only to deliver the contracted services.

  • Clients maintain ownership of their data.

  • We use secure third-party tools (e.g., OpenAI, Retell AI, Vapi, Google) which may process data according to their own privacy policies.

  • Mornex AI is not responsible for breaches that occur within third-party platforms.

7. Intellectual Property

  • All software, systems, flows, automations, scripts, and prompts created by Mornex AI remain the intellectual property of Mornex AI unless explicitly transferred via contract.

  • Clients receive a license to use the automations as long as they maintain an active subscription or service agreement.

8. Limitations of Liability

Mornex AI is not liable for:

  • Loss of data

  • Business interruption

  • Incorrect bookings caused by incorrect client data

  • Third-party outages (OpenAI, Retell AI, Google, Twilio, etc.)

  • Financial or reputational damages arising from the use or inability to use our services

Maximum liability is limited to the amount paid by the client in the last 30 days.

9. Termination of Services

Either party may terminate the agreement with written notice.
Mornex AI may terminate immediately if:

  • Payments are overdue

  • Client violates these Terms

  • Client engages in abusive or illegal activities

After termination, access to automations and systems may be removed.

10. Modifications to Terms

Mornex AI may update these Terms from time to time. New versions take effect when published. Continued use of our services means acceptance of updated terms.
